LICENCE — Greenhat IMS Template

Source: the LICENCE file at the root of this repository, which is the operative text and travels with every copy. It covers the Template, which is supplied free of charge. Use of the template is also subject to the Disclaimer & terms of use. The Audit Pack is supplied separately for a fee, under the Audit Pack terms.

1. Definitions

"Template" means this repository and its contents — including documents, templates, schemas, register designs, tooling, and the structure, wording, and arrangement of the system as a whole — and any part of it. It does not include the Audit Pack, even where Audit Pack content has been restored into a copy of the Template.

"Audit Pack" means the clause-to-document mapping supplied separately by the Licensor for a fee, under LICENCE-AUDIT-PACK. It is not part of the Template and this licence grants no right to it.

"Licensor" means Greenhat Group Pty Ltd.

"You" means the organisation or person accessing or using the Template.

"Your Group" means you together with any entity that controls, is controlled by, or is under common control with you.

"Internal Management Purposes" means establishing, implementing, operating, maintaining, reviewing, and improving Your Group's own management system(s), including preparing for and undergoing audit and certification of that system.

"Adaptation" means any copy, modification, instantiation, or derivative of the Template or any part of it.

2. Licence grant

Subject to your compliance with these terms, the Licensor grants you a non-exclusive, non-transferable, non-sublicensable, royalty-free licence to access, use, copy, and modify the Template, solely for Internal Management Purposes.

3. Permitted uses

For clarity, you may:

a. instantiate the Template as Your Group's own management system, populated with Your Group's own content;

b. hold copies and Adaptations in Your Group's own systems and repositories, including private forks of this repository;

c. give access to officers, employees, and contractors of Your Group who need it for Internal Management Purposes, provided they are bound by obligations no less protective than these terms;

d. disclose relevant parts of your instantiated management system to your own auditors, certification bodies, regulators, insurers, clients, and tenderers where reasonably required to demonstrate Your Group's own compliance in the ordinary course of its business.

4. Prohibited uses

You must not, and must not permit or assist any other person to:

a. sell, resell, rent, lease, sublicense, or otherwise supply the Template or any Adaptation to anyone outside Your Group as a template, toolkit, or product, whether or not modified and whether or not for reward;

b. use the Template or any Adaptation to provide consulting, advisory, implementation, audit, certification-preparation, or similar management-system services to any third party, whether or not for reward;

c. use the Template or any Adaptation to develop, offer, or market any product, template, toolkit, or service that competes with the Template or with the Licensor's services;

d. claim ownership of the Template, or apply for or register any intellectual-property right over the Template or its structure; or

e. remove, alter, or obscure this licence or any proprietary notice.

Nothing in this clause limits what clause 3 permits, or any right you have under applicable law that cannot be excluded by agreement.

5. Ownership

The Licensor retains all intellectual-property rights in the Template. You own the content you create and add when instantiating the Template (your own organisational facts, records, and filled-in material), but the Template's structure, wording, and arrangement within any Adaptation remain the Licensor's property and remain subject to these terms.

6. ISO and other referenced standards

The ISO standards referenced by this system are the copyright of their publishers. This repository reproduces no text from any standard; clause numbers and titles appear for reference only. You need your own licensed copies of any standard you work from, and nothing in this licence grants any right in any standard.

7. Feedback and contributions

The Licensor may use any feedback, suggestion, or contribution submitted in relation to the Template without restriction or obligation. The submitter warrants they are entitled to grant that right.

8. Term and termination

This licence starts when you first access the Template. It ends automatically if you breach these terms. On termination you must stop using the Template and delete all copies and Adaptations in your possession or control, except that Your Group may continue to operate a management system already instantiated from the Template before termination, and may retain what its own record-keeping or legal obligations require it to keep.

9. No warranty; no advice; liability

This clause applies to the Template, which is supplied free of charge. The Audit Pack is supplied for a fee under LICENCE-AUDIT-PACK, and clauses 7 to 10 of that licence — not this clause — govern consumer guarantees, warranties, refunds and liability for it.

The Template is provided "as is" and for no consideration. It is a documentation template, not legal, compliance, safety, or other professional advice, and its use does not guarantee certification to any standard or compliance with any law. Responsibility for your management system, its operation, and your legal compliance stays with you. To the maximum extent permitted by law, the Licensor excludes all warranties and all liability arising out of or in connection with the Template or its use. Nothing in this clause excludes, restricts or modifies any guarantee, right or remedy that cannot lawfully be excluded, restricted or modified, including under the Australian Consumer Law.

10. General

a. If a signed agreement between the Licensor and you deals with the Template, that agreement prevails over this licence to the extent of any inconsistency.

b. You may not assign or transfer this licence without the Licensor's prior written consent.

c. A failure to enforce a term is not a waiver of it.

d. This licence is governed by the laws of Queensland, Australia, and the parties submit to the courts of that jurisdiction.
